Zgodnie z art. 6471 § 5 kodeksu cywilnego zawierający umowę z podwykonawcą oraz inwestor i wykonawca ponoszą solidarną odpowiedzialność za zapłatę wynagrodzenia za roboty budowlane wykonane przez podwykonawcę. Oznacza to, iż inwestor i generalny wykonawca ponoszą odpowiedzialność solidarną za umowy zawierane przez wykonawcę z podwykonawcami, a także dalszymi podwykonawcami. Regulacja ta ma na celu ochronę podwykonawcy w sytuacji niewywiązania się z umowy przez wykonawcę. W takim bowiem przypadku podwykonawcy przysługuje bezpośrednie roszczenie do inwestora o zapłatę wynagrodzenia za wykonane roboty budowlane.
Sytuację prawną podwykonawcy wyznacza przede wszystkim treść umowy zawartej z wykonawcą. Odpowiedzialność inwestora powstaje w następstwie wyrażenia przez niego zgody na zawarcie umowy podwykonawczej i ma charakter dodatkowej gwarancji uzyskania wynagrodzenia przez podwykonawcę (wyrok Sądu Najwyższego V CSK 296/13).
Jednakże czy realizacja umownego prawa odstąpienia przez wykonawcę, od zawartej z podwykonawcą umowy o roboty budowlane, na którą inwestor wyraził zgodę, powoduje ustanie, solidarnej z wykonawcą odpowiedzialności inwestora za zapłatę wynagrodzenia za roboty budowlane wykonane przez podwykonawcę, czy też takie odstąpienie pozostaje bez wpływu na istnienie tej odpowiedzialności?
Przed takim właśnie zagadnieniem prawnym stanął Sąd Najwyższy, który w uchwale z dnia 10 lipca 2015 r. (sygn. akt III CZP 45/15) wskazał, że: „W razie odstąpienia przez wykonawcę od umowy o roboty budowlane, zawartej z podwykonawcą, inwestor nie ponosi odpowiedzialności na podstawie art. 6471 § 5 k.c.”
