W obrocie prawnym często można spotkać się z poglądem, że dla uprawnienia do reprezentacji spółki kapitałowej decydujący jest wpis osoby do KRS. Często banki, firmy telekomunikacyjne itp. odmawiają prawa do reprezentowania spółki osobom wprawdzie do zarządu powołanym, ale jeszcze niefigurującym w Rejestrze Przedsiębiorców KRS. Takie działanie nie jest jednak prawidłowe. Sam bowiem wpis do KRS osób wchodzących w skład zarządu ma tylko i wyłącznie charakter deklaratoryjny ( postanowienie sądu rejestrowego stwierdza jedynie fakt powołania danej osoby, które jest ważne już w momencie podjęcia uchwały o powołaniu danej osoby do zarządu). Podobnie wygląda to w przypadku odwołania członka zarządu. Członek zarządu jeszcze przed wpisem ma prawo, legitymując się odpisem uchwały zgromadzenia wspólników, skutecznie występować w imieniu spółki przed urzędami, w postępowaniach sądowych, zawierać umowy i wykonywać inne czynności prawne.
Słusznie podkreślił to również Sąd Najwyższy w wyroku z dnia 7 lipca 2005 r., sygn. akt. V CK 839/04 ( LEX nr 536022): „ z mocy wyraźnego przepisu art. 201 § 4 k.s.h. członek zarządu spółki z ograniczoną odpowiedzialnością jest powoływany i odwoływany uchwałą wspólników; wpis zmian w składzie osobowym zarządu w rejestrze sądowym ma tylko charakter deklaratoryjny. Domniemywa się, że wpis w Krajowym Rejestrze Sadowym jest prawdziwy lecz jest to domniemanie wzruszalne.”
Nie należy jednak oczywiście lekceważyć praktycznego znaczenia faktu ujawnienia danej osoby w rejestrze. W praktyce każdy kontrahent, czy urzędnik upewni się przed podjęciem czynności czy osoba działająca w imieniu spółki uwidoczniona jest w KRS. Dlatego należy pamiętać o niezwłocznym zgłaszaniu wszelkich zmian do rejestru ( w terminie 7 dni od daty zaistnienia zmiany). Brak wniosku może pociągać za sobą negatywne konsekwencje dla spółki ( np. postępowanie przymuszające).
