8 września 2016 roku wejdą zmiany w Kodeksie cywilnym oraz Kodeksie postępowania cywilnego wprowadzone ustawą z dnia 10 lipca 2015 roku. Zmiany dotyczą głównie formy czynności prawnych. Nowelizacja Kodeksu cywilnego wprowadza m.in. nową formę szczególną dokonywania czynności prawnych – formę dokumentową. Instytucja ta ma na celu zrównanie oświadczenia woli złożonego w formie elektronicznej z oświadczeniem woli złożonym w formie pisemnej.
Nowe przepisy przewidują, że w przypadku zastrzeżenia formy dokumentowej skutki jej niedochowania będą uregulowane analogicznie do skutków niedochowania formy pisemnej. Forma dokumentowa będzie miała charakter formy ad solemnitatem tylko wtedy, gdy rygor nieważności zostanie wyraźnie określony w ustawie. W przeciwnym wypadku będzie miała charakter formy zastrzeżonej ad probationem. Podobnie jak w przypadku formy pisemnej, do czynności prawnych w stosunkach między przedsiębiorcami nie będą miały zastosowania przepisy o skutkach niezachowania formy przewidzianej dla celów dowodowych.
Nowelizacja przewiduje, że do zachowania dokumentowej formy czynności prawnej wystarczy złożenie oświadczenia woli w postaci dokumentu, w sposób umożliwiający ustalenie osoby składającej oświadczenie. Ustawa z dnia 10 lipca 2015 roku wprowadza do Kodeksu cywilnego również definicję dokumentu, zgodnie z którą dokumentem jest nośnik informacji umożliwiający zapoznanie się z jej treścią. Nowe przepisy zdefiniowały również formę elektroniczną, którą określono jako złożenie oświadczenia woli w postaci elektronicznej i opatrzenie go bezpiecznym podpisem elektronicznym weryfikowanym przy pomocy ważnego kwalifikowanego certyfikatu.
Ustawą z dnia 10 lipca 2015 roku zmieniono także przepis dotyczący umowy pożyczki, przyjmując, że czynność taka wymaga zachowania formy dokumentowej, jeżeli kwota przekracza 1000 zł.
Nowe przepisy mają przyczynić się usprawnienia dokonywania czynności prawnych, a ich wprowadzenie stanowi odpowiedź na potrzeby praktyki.
